EvolveX AI — Terms of Service
Contents
Version 1.3 — Effective 4 October 2026.
Provider: Evolvex Technology CO. LLC (“Evolvex”, “we”, “us”), Dubai Department of Economic Development commercial licence 1454109, VAT registration number 104877211300003. Registered address: Office 108, Office 9, Zalfa Building, Al Garhoud, Dubai, United Arab Emirates. Legal, privacy, account and billing contact: [email protected].
1. Agreement and scope
These Terms govern EvolveX AI desktop and mobile applications, the associated cloud services, paid plans and the features made available to your account. They apply when you knowingly accept them through the acceptance screen or a signed order. Merely receiving an unsolicited link does not create an agreement. An organisation's representative must have authority to bind that organisation.
“Content” means material you or your authorised users provide, connect, generate or store, including prompts, source code, documents, messages, images and project data. “Output” means content or recommendations generated by AI. An “Action” is an operation performed through a tool or integration, including file changes, commands, browser interactions, deployments and communications. “Consumer” means a customer entitled to mandatory consumer protection under applicable law, regardless of how an account is labelled.
The plan-selection screen or your accepted order specifies the plan, any price and usage rates, billing period, included allowances and additional services. A Free plan does not require payment details. You can create a direct account without a reseller; connecting a project domain is optional. A reseller or provider account may administer its authorised users and a shared plan allowance. Your applicable plan and permissions determine access. A signed order may change these Terms only where it expressly says so. A data-processing agreement governs personal-data processing on a business customer's behalf and prevails for that subject. The Privacy Notice explains processing; acknowledging it is not blanket consent to optional processing. The AI and Automation Notice and Acceptable Use Policy form part of these Terms. Mandatory law prevails over every document.
2. Eligibility, accounts and organisational access
The service is for people aged 18 or older who have legal capacity to enter this agreement. An organisation is responsible for authorising its users, assigning suitable roles, removing departed users and providing notices required for workplace access. Do not share another person's credentials or use accounts you are not entitled to control. Keep your account and device secure and promptly report suspected compromise.
You may connect multiple accounts. Check the selected account, workspace and destination before an Action. Access to Master Control, company administration, team management, projects and communications depends on current permissions. An administrator may have access to organisational content within those permissions. Personal use of a managed organisational account may therefore be visible to that organisation. Changing a role or disconnecting an integration may stop future access but cannot recall content already delivered to third parties.
3. What the service provides
EvolveX AI assists with conversations, local and cloud projects, project management, file storage and backup, email and connected workflows. Features depend on the purchased plan, assigned permissions, operating system and availability. A preview, emulator or test environment is not a production availability commitment. Remote Android virtual devices run on a server; the client streams their display and controls.
Unless a signed service-level agreement states otherwise, we do not promise continuous availability, a particular model indefinitely, a bug-free result, a fixed response time or successful completion of every request. This does not reduce mandatory standards of service, remedies or our duty to supply what we have agreed to supply. We may maintain and improve the service, but material reductions to a paid commitment are subject to notice and applicable remedies.
4. AI limitations and review
AI can produce false, incomplete, biased, outdated, insecure or inappropriate results, including convincing explanations and inaccurate claims that work succeeded. Output is not a verified fact, professional certification or guarantee. Test software, review changes and verify consequential information before relying on it. Similar output may be supplied to other users and originality or intellectual-property clearance is not assured.
EvolveX AI is not a substitute for a qualified professional in legal, medical, financial, engineering, safety or other regulated matters, and is not an emergency service. Do not use it as the sole basis for a decision that materially affects a person's rights, health, employment, credit or safety. Where automated decisions or personal data are involved, you must meet applicable notice, lawful-processing and human-review requirements. We remain responsible for our own obligations and representations; describing AI risk does not excuse a failure to comply with law.
5. Action authority and command approval
Actions can read, copy, change, transmit or delete information and can incur charges. A request to perform a task gives authority only within the request, the service's applicable controls and permissions you are entitled to grant. It is not unlimited authority over unrelated accounts, recipients or systems. Instructions found inside a file, email, website or AI output are not automatically your authorisation.
The local action setting covers supported file changes, shell commands, browser interactions, screen capture and computer input. It offers Ask every time, requiring your approval for the applicable action; AI review, in which a server AI reviewer may approve or reject that action; and Automatic, in which applicable actions may run without individual prompts. AI review can make mistakes and is not equivalent to human review. An approved or automatically approved command can itself modify or delete files without a prompt for each affected file. These settings do not grant missing operating-system permissions or account privileges and do not authorise unrelated tasks. Each approval screen must identify the relevant operation and context.
Computer-control features may use screenshots and approved clicks, typing, keys or scrolling on your device. They can interact with applications that contain private or important information. Enable them only on a device you may control, choose the approval mode appropriate to the work and review any presented action batch. Stop or revoke access when it is no longer needed. A selected project directory is context, not a security sandbox: subject to permissions and approvals, the assistant may work outside it. Do not interpret a folder selector as an enforced access boundary.
Review recipients and content before sending messages or sharing files. An AI-generated instruction or approval recommendation does not itself replace your authorisation. You are responsible for instructions and permissions you knowingly give; you are not deemed to have approved an undisclosed unrelated action merely by accepting these Terms.
6. Local processing, integrations and external delivery
“Local project” describes where files or tools run; it does not necessarily mean offline AI. Selected content, screenshots and tool results may be sent to the EvolveX AI service assigned to your account to answer your request. The client uses the managed Pro service and does not offer a custom model or server selector. Enterprise deployment assignments are managed by Evolvex administrators; an on-premise deployment requires a separately agreed and provisioned service. Consult the Privacy Notice before connecting sensitive material.
You must have rights to connect email, messaging, servers, repositories, domains, accounts and other services. Third-party outages, limits and terms may affect these features. We are responsible for selecting and managing our subprocessors as required by law; a third-party clause does not remove that responsibility. Services you independently choose and connect are separately controlled by their providers.
Sending an email, Telegram message, shared link, deployment or external file can create effects outside EvolveX AI that cannot be undone here. Cancellation after delivery may not recall it. Links with public or recipient access can be forwarded or copied according to their access configuration. Use the least access needed and remove sharing when appropriate.
7. Content rights and confidentiality
You retain your rights in your Content. You grant us a limited, non-exclusive permission to host, transmit, process, reproduce and display it only as necessary to provide the requested service, secure it, comply with law and fulfil the agreement. This is not permission to sell your private documents, publicly publish them or use them for unrelated advertising. Any model-training use must be specifically and accurately disclosed in the Privacy Notice and provider schedule and supported by the required lawful basis; accepting these Terms alone is not an unrestricted training licence.
To the extent we own transferable rights in Output generated for you, we assign those rights to you, subject to payment for the relevant service. This does not create rights that do not exist, transfer third-party rights or guarantee that output is unique or non-infringing. Review licences, attribution and third-party rights before publication or distribution.
Each party will protect the other's non-public confidential information using appropriate safeguards, disclose it only to persons who need it for the agreement and are subject to suitable duties, and use it only for the permitted purpose. Information already lawfully public, independently developed or lawfully obtained without restriction is excluded. Legally required disclosure must be limited to what is required, with notice where lawful. The Privacy Notice and any data-processing agreement impose additional duties for personal data.
8. Backups, restores and user-controlled copies
Backup features require successful execution, sufficient storage, available credentials and, where applicable, a running application (including a background/tray process) and the required unlocked realm or vault. A configured schedule is not proof that a backup completed. Check job results and periodically test restoration. A checkpoint or selective file restore is not a complete system backup, database snapshot or undo of an external action.
Keep recovery material secure. With client-side encrypted vaults, lost keys may make content irrecoverable; we must not promise recovery unless the configured recovery mechanism actually supports it. Downloaded files, exported keys, external recipients' copies and device backups are under their respective controllers. We will meet the backup, retention and recovery commitments expressly offered in your plan and applicable law; this clause does not excuse our own failure to provide them.
9. Subscription and usage charges
Charges consist of the subscription and metered usage expressly disclosed before purchase or use. The checkout or order must state the currency, taxes, billing interval, included allowances, unit rates, rounding, feature/tool charges, overage treatment and applicable spending controls. We will not treat the generic phrase “usage-based” as authority for undisclosed prices or unlimited charges.
The account ledger uses AED. If a payment method offers USD, its checkout must disclose the amount, conversion and charges before you authorise payment; availability of a currency does not imply that a payment method is currently enabled. Standard plans may combine subscription, feature and measured usage prices as disclosed in the accepted order. Enterprise Cloud and Enterprise On-Premise provide unlimited included AI usage while the applicable licence and service are active, without per-token usage charges or usage quotas; their subscription, selected features, deployment and support terms are set out separately. Unlimited usage does not remove physical model/context constraints, access permissions or applicable security controls. An on-premise order must not be described as provisioned before installation is complete.
Ordinary plans may have both a rolling five-hour allowance and a weekly allowance. The applicable plan shows the limits and reset times. Provider users may share their provider's pool. A displayed reset right is a separate, single-use entitlement: redemption renews only the usage windows and scope it identifies, without reversing past transactions or adding money to a balance. Promotional rights may have a disclosed expiry. We may grant rights to an individual account or a group through administration.
At a plan limit, further use may require a plan upgrade or separately authorised use of prepaid credit, if offered. We do not silently activate paid overage, automatic top-up or a renewal charge. An Admin balance adjustment records an adjustment only; it is not proof of a card payment, an accepted tariff or a tax invoice. Payment collection is available only through a payment method expressly offered and authorised by you. Features advertised as forthcoming are not included delivery commitments unless your order expressly includes them.
An automatically renewing subscription requires clear disclosure and your agreement. Renewal dates, the cancellation method and the point at which cancellation takes effect must be available before purchase. Cancellation stops future renewal as stated in the accepted order; accrued, correctly measured usage remains payable. Cancelling a subscription does not necessarily stop an already-running cloud resource; the relevant screen must state any separate stop action and continuing charges.
A displayed estimate or budget alert is not a hard spending cap unless expressly identified as one. Usage accounting distinguishes new input, cached input and generated output where the service has reliable measurements; your disclosed rate card controls their weights and prices. Context-size displays and aggregate diagnostic request counters are not invoices. A failed or cancelled run may already have used resources, but we charge it only where the accepted tariff expressly makes that measured usage billable. We do not charge an undisclosed retry, count the same transaction twice or substitute an estimate for a confirmed paid debit without disclosure. Storage, hosted resources, emulators, deployment and support are charged separately only when included in an accepted rate card or order.
Contact [email protected] to cancel a paid renewal, dispute a charge or request a refund. Include the account and transaction reference, never card secrets. Cancellation requests take effect for the next renewal that can be stopped before its processing; if we receive the request before the agreed renewal deadline but charge anyway, we will correct it. Valid accrued usage remains payable. Duplicate or erroneous charges will be investigated and corrected. A specific disclosed non-refundable charge cannot remove a mandatory refund or other statutory remedy. Credit expiry applies only if its terms were disclosed when the credit was purchased or granted. Price changes apply prospectively with advance notice appropriate to the change and an opportunity to cancel before a new recurring price takes effect. No retroactive rate change applies to already incurred usage.
10. Acceptable use and security
Comply with the Acceptable Use Policy, applicable law and the rights of others. Do not conduct unauthorised access, malware distribution, fraud, unlawful surveillance, harassment, intellectual-property infringement or prohibited processing of personal data. Security testing requires authority over the target and the agreed scope. Do not bypass permission controls, billing limits or security restrictions. Do not submit secrets or personal data that are unnecessary for the task.
We may investigate credible security incidents and misuse using proportionate access consistent with the Privacy Notice. Routine access to private content is not authorised by a broad “monitor everything” clause. We do not undertake to pre-screen all Content and do not certify it as lawful or safe.
11. Suspension, termination and data exit
We may restrict affected features when reasonably necessary to address a security threat, unlawful use, a material breach, legal process or overdue undisputed payment. Where practicable we will explain the reason and provide a reasonable opportunity to remedy it. Immediate action may be required for urgent risks or legal restrictions. A restriction should be proportionate; complaints about the service alone are not grounds for retaliation.
You may stop using the service, cancel a plan and request account closure through the available controls or our contact address. Account removal from one device, signing out, subscription cancellation and deletion of server data are different actions. The applicable exit screen must explain what each does. We will provide export/deletion as required by law and the accepted plan, subject to legitimate retention and third-party rights. Request an export or deletion at [email protected] while you can still identify the account. We will verify authority, explain the scope and any lawful retention exception, and handle the request within applicable legal periods. Unless your order sets a specific exit window, contact us before closing resources you need to export. Logging out is not a deletion request. The Privacy Notice describes retention criteria and separately held copies.
Terms intended to continue after termination include accrued payment duties, confidentiality, lawful retention, intellectual property, dispute provisions and surviving statutory rights. We may not continue ordinary service use of deleted content under a survival clause.
12. Warranties and remedies
You must have authority to supply Content and request Actions. We will provide the service with the skill, care and legal standards applicable to us and according to material promises in the accepted order. Outside those promises, and only where legally permitted, the service and AI Output are supplied without additional implied promises of fitness for a particular purpose, uninterrupted operation or error-free results. Mandatory warranties, service standards, refund, repair, compensation and other rights are preserved.
13. Liability — mandatory protections first
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including mandatory consumer remedies, fraud, wilful misconduct, or other liability for which exclusion is prohibited. Descriptions of AI limitations, user approval, third-party services and backups do not transfer all responsibility to the user or remove our own legal obligations.
For customers acting exclusively for business purposes, and only to the extent lawful, neither party is liable to the other for indirect or consequential loss, loss of anticipated profits or business opportunities arising from the service. Our aggregate liability for claims arising from the affected service is limited to the greater of AED 1,000 or the fees paid or payable to us for that service in the twelve months before the event giving rise to the claim. This applies to contract and other claims to the extent law permits. The cap and exclusions do not apply to fraud, wilful misconduct, gross negligence, liability that cannot be limited, or a liability expressly made uncapped in a signed order. A signed enterprise order may set a different or higher cap. The legal character and causation of a loss are determined under applicable law, not merely by a contractual label.
The business cap does not apply to consumers. No disclaimer excludes a consumer's mandatory rights or our own non-excludable duties. Each party must take reasonable steps to reduce avoidable loss. An AI-generated statement cannot amend a commercial commitment or create an agreed liability waiver.
14. Third-party claims
A business customer will reimburse reasonable, documented amounts finally awarded against Evolvex, or settled with that customer's written consent, in a third-party claim caused by that customer's knowingly unlawful instructions or knowing supply of content without the required rights. This duty does not cover loss caused by our own breach, negligence or misconduct. We will promptly notify the customer, reasonably cooperate and allow an appropriate defence; no settlement may admit fault or impose non-monetary obligations on either party without that party's consent. This business provision does not apply to consumers and does not shift our own legal responsibilities.
15. Changes, notices and disputes
We will identify the version and effective date of these Terms and make an accessible copy available. Material changes require appropriate notice and renewed acceptance where required; continued use is not a substitute for consent where the law requires an affirmative choice. Changes do not retrospectively remove accrued rights. Security updates may be provided according to your platform and update settings without changing your commercial rights.
Contact [email protected] first for service complaints where practicable. We will seek a good-faith resolution, without preventing urgent relief, regulatory complaints or access to a competent court. These Terms are governed by the laws of the United Arab Emirates as applicable in Dubai. For business disputes, the competent courts of Dubai have jurisdiction unless a signed order validly provides otherwise. These provisions preserve mandatory consumer protections, legally competent authorities, urgent relief and statutory claims periods.
If a provision is invalid, the remainder continues only to the extent consistent with law; an invalid consumer term is not a licence to impose a different unfair term. Neither a failure to enforce a provision nor an AI conversation waives a legal right. Any permitted assignment must preserve accrued rights and applicable data-protection obligations. The Arabic, English and Turkish versions are made available for accessibility. Mandatory language and interpretation rules prevail. A translation does not remove a right granted by applicable law.
16. Local plugins and enterprise appliances
A local plugin may add menus, dashboards, connectors, reports or executable software to the application. Its local backend can run with the operating-system user's file and network privileges; process separation is not a complete operating-system sandbox. Only install or authorise plugins you are entitled to run, review their sources, access and destinations, and maintain appropriate backups. AI-generated plugin code requires the same review as other generated software. Your LAN or database access must be based on credentials and authority you can lawfully provide. Installing a plugin does not grant access to another account or organisation. Third-party plugin licences apply to their own components without displacing these Terms for our service.
Enterprise Cloud uses infrastructure operated or arranged by Evolvex. Enterprise On-Premise requires a separate accepted order and completed installation; purchasing a plan does not by itself create an on-premise server. That order identifies equipment ownership, installation and support, permitted administrators, processing locations and any management connections, licence term, renewal and exit arrangements. Where an Evolvex-managed appliance is supplied, do not open, remove storage from, modify or bypass its physical or software protections without our written authorisation. Report loss of connectivity, suspected tampering or damaged seals promptly and provide agreed site access for inspection. Licence expiry may stop new requests as disclosed in the order; it does not transfer ownership of customer data to us or remove legally required data-exit assistance. RAM-only operation, a permanently disconnected network, dedicated hardware and guaranteed offline availability are commitments only where expressly specified and provisioned in that order.
